Terms of Service

1. Parties and acceptance

These Terms of Service ("Terms") form a binding agreement between you, or the entity you represent ("Customer", "you"), and EtherLabZ IT Solutions Private Limited, a company incorporated in India ("LocalLeads", "we", "us"), operator of the LocalLeads service (the "Service").

By creating an account, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you accept on behalf of an entity, you represent that you have authority to bind that entity.

2. The Service

LocalLeads is a business-to-business lead-discovery platform that aggregates business contact information from publicly available online sources (including publicly available business directories, public business profiles on social networking services, and the public websites of those businesses) and makes that information searchable and exportable. The Service includes search, filtering, enrichment, exports to common spreadsheet and cloud-document formats, a programmatic API, and an interface for AI agents.

3. Accounts

  • You must be 18 or older and have legal capacity to contract.
  • Provide accurate registration information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • One person per individual account; one workspace per business entity unless otherwise agreed in writing.
  • Notify us promptly of any unauthorised use at security@postorbit.io.

4. Subscriptions, credits, and the Fair Credit Policy

  • Plans renew automatically until cancelled. You can cancel at any time from the billing dashboard; access continues until the end of the paid period.
  • Credits do not expire while your subscription is active. If your subscription ends, any unused credit-pack credits remain usable for the period stated at purchase, after which they expire.
  • Fair Credit Policy: if a search returns no results, no credits are deducted. If a search returns partial results, you are charged only for the results actually delivered.
  • Pricing may change with at least 30 days' prior notice for renewals; existing paid periods are not retroactively affected.
  • Payments are processed by third-party payment processors. Applicable taxes (such as GST, VAT, or sales tax) are charged where required by law.
  • Refunds: credit-pack purchases are non-refundable once any credits from the pack have been consumed. Subscription cancellations stop future billing but do not refund the current period unless required by law.

5. Lead-data licence

Subject to your compliance with these Terms and timely payment of all fees, we grant you a non-exclusive, non-transferable, non-sublicensable, worldwide licence to use the lead data you retrieve and export from the Service for your own internal B2B sales, marketing and research purposes.

You may not: (a) resell, redistribute, sublicense or commercialise the lead data as a standalone product; (b) use the lead data to construct or augment a competing database available to third parties; (c) train a generally-available machine-learning model on the lead data for resale; (d) use the lead data in violation of any applicable law (including data-protection, anti-spam, anti-telemarketing, and consumer- protection laws); or (e) attempt to re-identify, combine, or cross-reference lead data with other datasets in a way that creates sensitive personal data.

For larger or enterprise use cases, contact us for a written data-licence agreement.

6. Customer compliance obligations

This Section is material to our willingness to provide the Service. You are solely responsible for ensuring that your use of the lead data (including any outreach campaigns conducted using it) complies with all applicable laws and platform rules. Without limitation, you agree to:

  • Comply with anti-spam laws applicable to your campaigns, including the US CAN-SPAM Act, Canada's CASL, the EU e-Privacy Directive and national implementations (PECR in the UK), and equivalent laws in your customers' jurisdictions. Include a working unsubscribe mechanism in every commercial message and honour opt-outs within 10 business days at the latest.
  • Comply with anti-telemarketing laws including the US TCPA, state Do-Not-Call rules, India's TCCCPR / DLT registration regime, and equivalent. Do not call numbers registered on national or state do-not-call lists unless you have a documented prior relationship.
  • Comply with data-protection laws applicable to your processing, including the EU/UK GDPR, the California CCPA/ CPRA, India's DPDP Act, and equivalent. You are the controller (or equivalent) for any personal data you download from the Service. You are responsible for establishing your own lawful basis for outreach, providing required notices to data subjects, and honouring their rights (access, correction, deletion, objection, opt-out).
  • Honour deletion / suppression requests from individuals whose data you contact via the Service and propagate those requests to us at privacy@postorbit.io so that we can update our index. We may also publish a customer suppression-list upload feature; you agree to use it once available.
  • Not use the Service or lead data for: unsolicited bulk consumer (B2C) marketing where prohibited; sending threats, harassment, fraud, phishing, malware, or scam messages; discrimination prohibited by law; or recruitment-related profiling that violates applicable employment law.
  • Not export lead data to, or use the Service from, jurisdictions subject to comprehensive sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions).

We may suspend or terminate accounts that we reasonably believe are operating in violation of this Section, with or without prior notice.

7. Acceptable use

You agree not to, and not to attempt to:

  • Use the Service in violation of any applicable law.
  • Infringe the intellectual property rights of others.
  • Send spam, unsolicited bulk communications, or harassing messages.
  • Gain unauthorised access to our systems, other accounts, or related infrastructure.
  • Interfere with, probe, scan, or disrupt the Service or its underlying systems beyond what is permitted by our published rate limits and API contract.
  • Reverse engineer or attempt to extract source code, except as permitted by mandatory law.
  • Resell, sublicense, or white-label the Service without our prior written consent.
  • Use the Service to scrape or collect data in violation of any third-party platform's terms of service.
  • Share account credentials or evade per-seat or per-org limits.

8. Data accuracy

Lead data is sourced from public listings that change frequently. We do not warrant the accuracy, completeness, currency, or fitness for a particular purpose of any lead record. You agree to validate critical data before relying on it.

9. Intellectual property

The Service, its software, design, documentation, and the compilation, arrangement and curation of lead data (but not the underlying factual public business information) are owned by LocalLeads and protected by copyright, trademark, and other laws. Except for the licences expressly granted in these Terms, no rights are granted to you.

10. Customer data and feedback

You retain ownership of data you submit into the Service (account profile, saved searches, custom notes, suppression lists, etc.). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display that data solely to provide and improve the Service and as described in our Privacy Policy.

If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or attribution.

11. Third-party services

The Service may include or integrate with third-party services (for example, cloud-document and spreadsheet services, payment processors, and data-sourcing partners). Your use of any third-party service is governed by that third party's own terms; we are not responsible for third-party services.

12. Disclaimer of warranties

THE SERVICE AND LEAD DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR UNINTERRUPTED OPERATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS, OUR WARRANTIES ARE LIMITED TO THE MINIMUM PERMITTED BY LAW.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALLEADS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR DATA USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, AND (B) ONE HUNDRED US DOLLARS (US$100).

14. Indemnification

You will defend, indemnify and hold harmless LocalLeads and its affiliates from and against any third-party claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service or lead data; (b) your violation of these Terms, including Section 6 (Customer compliance obligations); (c) your violation of any applicable law, including data-protection, anti-spam, anti-telemarketing, consumer-protection or intellectual-property law; or (d) any claim by a data subject relating to outreach you conducted, or campaigns you executed, using lead data from the Service.

15. Termination

You may close your account at any time from the dashboard. We may suspend or terminate your access to the Service immediately if you breach these Terms (including Section 6) or to comply with law. On termination, your rights under these Terms terminate; Sections 5 (last paragraph), 8, 9, 10, 12-17, and 19 survive.

16. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer- protection laws in your country of residence, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

17. Changes to the Terms

We may modify these Terms from time to time. Material changes will be notified by email or in-product at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

18. Notices

Notices to you may be sent by email to the address associated with your account or posted in the product. Notices to us must be sent to legal@postorbit.io.

19. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any order form or DPA, form the entire agreement between you and us.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. A failure to enforce a provision is not a waiver of future enforcement.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
  • Force majeure. Neither party is liable for failure caused by events beyond reasonable control.
